1. Validity
Our sales and shipments occur exclusively under the following conditions. Differing conditions of the seller may only be accepted upon written confirmation.
2. Offers and orders
All offers are non-committal and non-binding. Orders become effective upon assent, even without an order confirmation. In cases of article values greater than € 1000.00, orders are deemed valid only upon written confirmation.
3. Prices and payments
Prices are to be understood without VAT for delivery from the plant, excluding packaging. Invoices are payable within 14 days with a 2 % cash discount or net within 30 days. The discount is canceled if the buyer is in arrears with his payments. The full amount becomes due immediately if the buyer is in arrears toward us with other requests or if we learn about an insecurity of his financial situation due insolvency, a settlement, or the like. In case of an exceedance in the term of payment, we charge the bank-usual interest on arrears.
4. Minimum quantities
In cases of orders that fall short of the minimum amount for an order of € 50.00, we have to charge a processing fee of € 20.00.
5. Delivery time
The delivery times are to be understood as non-committal — subject to prior sale — and calculate from the receipt of the order and all necessary documents for execution. Adherence to the delivery times stated by us, which are merely estimates without agreement to the contrary, applies barring unforeseen events in manufacturing or other obstacles, e.g. force majeure, transport delays, etc.
Claims for damages on the grounds of non-fulfillment or delayed fulfillment are excluded.
6. Shipping and packaging
Shipping occurs for the account and at risk of the buyer. The choice of the shipping method is made at our reasonable discretion and without warranty for the most inexpensive transport, provided that no specific regulations are present. For a neutral delivery undertaken at a customer’s behest, we have to charge a processing fee of € 20.00. Return of the standard packaging is fundamentally excluded.
7. Complaints and return shipments
Complaints can only be lodged within eight days. In cases of well-founded complaints, we deliver a replacement free of charge or issue a credit note. Further demands for damages, especially wage labors, may only be claimed up to the amount of the order value. A guarantee for a specific intended purpose of our goods cannot be assumed if no suitability for such purpose has been expressly confirmed by us. Return shipments may only be carried out upon prior consultation with and written permission through Hensen GmbH. We reserve the right of refusal of acceptance.
8. Reservation of title
The delivered goods or objects remain our property until they have been paid for in full. In the event of further delivery or processing, the same reservation of title applies to the subsequent buyer until our delivered goods or objects have been paid for in full.
9. Court of jurisdiction
The court of jurisdiction is the Mönchengladbach-Rheydt local court or the Mönchengladbach district court. German law shall apply exclusively.
